ResAssist User Services Agreement
Preface
Welcome to use ResAssist software and services from Resvent Medical Technology Co., Ltd. (referred as "Resvent" below).
In order to use ResAssist software (referred as "the software" below), including ResAssist APP client, web client, PC client, WeChat public account, WeChat Mini Program, and other forms of clients and services, you should read and abide by the "ResAssist Service Agreement" (referred as "this agreement" below). Please be sure to read carefully and fully understand the terms of each clause, especially the terms of the exemption or limitation of liability, as well as a separate agreement for the opening or use of a service. And choose to accept or not accept. Restrictions and disclaimers may alert you in bold.
Unless you have read and accepted all the terms of this agreement, we cannot provide you with related services.
If you are under 16 years of age, please read this agreement and other agreements with your legal guardian, paying particular attention to the minor’s terms of use.
I. Scope of the Agreement
This agreement is an agreement between you and Resvent regarding your download, installation, use, copying of the software, and use of Resvent -related services.
II about the Service
2.1 Content of This Service
Patient User
This service content refers to the medical and idiopathic ResAssist with home ventilator to provide users with respiratory and sleep disease diagnosis and treatment services.
Distributor User
This service content refers to the management of personal information and ventilator equipment parameters of sub-distributors, patients, doctors, ventilator equipment and distributors, patients, doctors, and ventilator equipment through ResAssist to achieve the purpose of respiratory and sleep disease diagnosis and treatment services.
Doctor User
This service content refers to the management of patients through ResAssist to achieve the purpose of respiratory and sleep disease diagnosis and treatment services.
2.2 Ways of This Service
2.2.1 You need to download the ResAssist client software to use this service. For these software, Resvent gives you a personal, non-transferable and non-exclusive license. Web clients can be accessed directly through a web browser. You may only use these software and services for the purpose of accessing or using this service.
2.2.2 In this service, ResAssist client software may provide multiple application versions including but not limited to iOS, Android, Windows, etc. The user must select the software version that matches the installed device.
2.3 The Scope of This Service
2.3.1 Resvent gives you a personal, non-transferable and non-exclusive license to use the software. You may install, use, display, operate this software on a single terminal device for non-commercial purposes.
2.3.2 You may make a copy of the software for the purpose of using the software and services and use it only as a backup. The backup copy must contain all the copyright information contained in the original software.
2.3.3 All other rights not expressly authorized by this article and other terms of this agreement are still reserved by Resvent. You must separately obtain the written permission from Resvent when you exercise these rights. If you do not exercise any of the aforementioned rights, it does not constitute a waiver of the right.
III the Acquisition of Software
3.1 You may obtain this software directly from Resvent’ s website, APP Store and Google play, or from a third party authorized by Resvent.
3.2 If you obtain this software or an installer with the same name as this software from a third party that is not authorized by Resvent, Resvent cannot guarantee the normal use of the software and will not be responsible for the damages caused to you.
IV the Installation and Uninstall of Software
4.1 Resvent may develop different software versions for different devices. You should choose to download the appropriate version to install according to the actual situation.
4.2 After downloading the installer, you need to follow the steps suggested by the program to install it correctly.
4.3 If you no longer need to use the software or need to install new software, you can uninstall it yourself.
V. Software Updates
5.1 In order to improve the user experience and improve the service content, Resvent will continue to develop new services and provide you with software updates from time to time (these updates may take the form of software replacement, modification, function enhancements, version upgrades, etc.).
5.2 In order to ensure the consistency of the security and functionality of the software and services, Resvent reserves the right to update the software without notice to you, or to change or limit some of the software's functional effects.
5.3 After the new version of the software is released, the old software may not be available. Resvent does not guarantee that the old version of the software will continue to be available and the corresponding customer service. Please check and download the latest version at any time.
IV User Personal Information Protection
6.1 Protecting users' personal information is a basic principle of Resvent care. Resvent will take reasonable measures to protect users' personal information. Resvent uses specialized encrypted storage and transmission of relevant information to protect the security of users' personal information.
6.2 In the process of registering your account or using this service, you need to provide some necessary personal information. If local laws and regulations stipulate, you need to provide real identity information. If the information you provide is incomplete, you cannot use the service or be restricted during use.
6.3 Under normal circumstances, you may view or modify your submitted information at any time, but for security and identification purposes, you may not be able to modify the initial registration of certain information and other verification information provided at the time of registration.
6.4 Resvent will use various security technologies and procedures to establish a comprehensive management system to protect your personal information from unauthorized access, use or disclosure.
66.5 In order to provide you with respiratory and sleep diagnosis and treatment services, Resvent may disclose your personal information to distributors and cooperative doctors other than Resvent , and according to local laws and regulations, it is necessary to go through legal procedures to the relevant departments. 6.6 Resvent attaches great importance to the protection of minors' personal information. If you are a minor under 16 years of age, you must obtain prior written consent from your parent or legal guardian before using Resvent services.
6.7 For how ResAssist collects, uses, stores, and protects your personal information and what rights you have, you can also read the“Resvent Medical Privacy Policy” to learn more about it.
6.8 Distributors and distributors associated users are authorized by Resvent to access to doctors, patient personal information and data. Doctor users are authorized by Resvent to access their associated patient personal information and data. Distributors and distributors associated users and doctor users have complete confidentiality obligations regarding the disclosed personal information and data. If the distributors and distributors' associated users and doctors do not knowingly or intentionally disclose personal information and data that they have already acquired, they will assume full legal responsibility.
VII. The Main Rights and Obligations Clause
7.1 Account Usage Specifications
7.1.1 You need to register an ResAssist account before using this service. The distributor and related account number are provided by Resvent or registered with the upper-level distributor. The doctor's account number is provided by the distributor or Resvent. The patient account number can be registered himself or herself , or provided by the distributor. To use this service, you must enter your ResAssist account and password to verify your account. You agree to provide accurate and complete information ("Service Registration Information") when you register for the service and when using the service, and you agree to update your service registration information in order to keep your service registration information accurate and complete. Failure to provide accurate, complete and up-to-date service registration data may result in your account being suspended and/or terminated. You agree that Resvent may store and use the service registration information you provide to maintain your account and charge your account.
7.1.2 The ownership of the ResAssist account is owned by Resvent. After the user completes the application registration process, he is only entitled to use the ResAssist account, and this right of use is only the initial application registrant. At the same time, the initial registrant may not grant, borrow, lease, transfer or sell the ResAssist account or otherwise permit the non-initial registrant to use the ResAssist account. Non-initial application registrants may not use the ResAssist account through bequests, inheritance, rent, transfer, or any other means. Your rights to your ResAssist or your account information and data will end when you die. After receiving your copy of your death certificate, your account may be terminated and all the contents of your account may be deleted
7.1.3 Do not disclose your account information to anyone else. You are solely responsible for the confidentiality and security of your account and are fully responsible for all activities that occur on or through your account, and you agree to immediately notify us of any security breaches in your account. You further declare and agree that the design and intent of this service is for personal use by you, and you may not share details of your account and/or password with others. In the event that we use reasonable skills and perform due diligence obligations, if your account is used without authorization due to your non-compliance with these rules, we shall not be liable for any loss arising therefrom. responsibility.
7.2 User Precautions
7.2.1 You understand and agree that in order to provide you with an effective service, the software will utilize resources such as your processor and bandwidth of the terminal equipment. In the process of using the software, the data flow may be generated. The user needs to learn the relevant tariff information from the operator himself and bear the related expenses.
7.2.2 You understand and agree that in order to provide you with functional services, certain features of the software may enable third parties to know the user's information. For details, please refer to “Disclosed to third parties” in the Resvent Medical Privacy Policy. Section terms.
7.2.3 You understand and agree that Resvent will use its commercially reasonable efforts to ensure the security of your data storage in the software and services. However, Resvent Services cannot provide complete assurance on this, including but not limited to the following:
7.2.3.1 Resvent is not responsible for the deletion or storage failure of related data in the software and services.
7.2.3.3 If you stop using the software and the service or service is terminated or cancelled, we will save your personal information for 5 years from the end of the use or service termination date, or the save time limit according to local regulations, and we will take the longer of the above two. After the above period is over and you voluntarily request to delete, Resvent can permanently delete your data from the server. At this point, Resvent is not obligated to return any data to you.
7.2.4 When users use the software and services, they must undertake the following risks that cannot be controlled by Resvent, including but not limited to:
7.2.4.1 risk of loss or leakage of personal information that may be caused by irresistible factors (natural disasters, riots, wars, etc.);
7.2.4.2 The user must select the software version that matches the installed terminal device. Otherwise, any problem or damage caused by the mismatch between the software and the terminal device model will be borne by the user.
7.2.4.4 If the user discloses personal information by ways out of ResAssist function, and the personal information may be spread, then the user shall assume full legal responsibility.
7.2.5.5 Due to unstable wireless network signals and small wireless network bandwidth, the ResAssist failed to log in, data synchronization was incomplete, and pages opened slowly.
VIII. User Behavior Norms
8.1 Content Specification
8.1.1 The information content referred to in this Article refers to any content created, copied, distributed, or disseminated by the user during the use of the software and services, including but not limited to the registration information of the account picture, name, remarks, etc., or health records, reports, etc., messages, push notifications, and other content generated using ResAssist accounts or the software and services.
8.1.2 You understand and agree that you may not use the ResAssist account or the software and services to create, reproduce, publish, or disseminate the following content that interferes with the normal operation of Medicare and infringes upon the legitimate rights of other users or third parties, including but not limited to:
8.1.2.1 Issuing, transmitting, transmitting, or storing content that is prohibited by any country's laws and regulations:
(1)Violating the basic principles established by the Constitution and local laws and regulations;
(2)Endangering national security, leaking state secrets, subverting state power, and undermining national unity;
(3)Damage to national honors and interests;
(4)Inciting ethnic hatred, ethnic discrimination, and undermining national unity;
(5)Undermining the country’s religious policy and promoting cults and feudal superstitions;
(6)Spread rumors, disrupt social order, and undermine social stability;
(7)Dissemination of obscenity, pornography, gambling, violence, terror or abetment of crimes;
(8)Insulting or slandering others and infringing the legal rights and interests of others;
(9)Inciting illegal assemblies, associations, processions, demonstrations, and gathering crowds to disrupt social order;
(10)Activities in the name of illegal civil organizations;
(11)Contain other content prohibited by laws and administrative regulations.
8.1.2.2 publish, transmit, disseminate, and store content that infringes other people's right of reputation, portrait rights, intellectual property rights, trade secrets, etc.;
8.1.2.3 Involving other people's privacy, personal information or information;
8.1.2.4 publish, transmit, transmit harassment, advertisement information, over-marketing information and spam or contain any sexual or sexual suggestion;
8.1.2.5 Other information that violates laws, regulations, policies and public order, social ethics, social ethics, or interferes with the normal operation of Resvent and infringes upon the legitimate rights and interests of other users or third parties.
8.2 Software Usage Specifications
8.2.1 You must not engage in any of the following acts in the use of this software, except as permitted by law or in writing:
8.2.1.1 delete the information on the copyright of the software and its copies;
8.2.1.2 reverse engineer, reverse assemble, reverse compile, or otherwise try to find the source code of the software;
8.2.1.3 Use, lease, lend, copy, modify, link, republish, compile, publish, publish, establish a mirror site, etc. for the content of Resvent 's own intellectual property;
8.2.1.4 Copy, modify, add, and delete the data released to any terminal memory during running of the software or the software, the interaction data between the client and the server during the running of the software, and the system data necessary for the operation of the software. , engage in the operation or creation of any derivative works, including but not limited to the use of plug-ins, plug-ins or non-financed medical authorized third-party tools/services to access the software and related systems;
8.2.1.5 By modifying or falsifying the instructions and data in software operation, adding, deleting or altering the function or operational effect of the software, or operating or publicizing the software and methods used for the above purpose, regardless of whether these actions are business purpose.
8.2.1.6 Log in or use Resvent software and services, or create, publish, and disseminate the above tools through non-integrated medical development, authorized third-party software, plug-ins, plug-ins, and systems;
8.2.1.7 interfere with the software and its components, modules, and data on its own or by authorizing others or third-party software;
8.2.1.8 Other behaviors that have not been expressly authorized by Resvent.
8.2.2 You understand and agree that, based on the user experience, the operational security of ResAssist or related service platform, the requirements of platform rules and healthy development and other comprehensive factors, Resvent has the right to choose the object of providing the service, and has the right to decide the function setting, and have the right to determine the object and scope of the function opening, data interface, and related data disclosure. It is entitled to suspend or terminate the provision of this service as the case may be, including but not limited to:
8.2.2.1 violates laws and regulations or the provisions of this agreement;
8.2.2.2 affect the service experience;
8.2.2.3 There is a security risk;
8.2.2.4 violates the operating principles of ResAssist or its service platform, or does not comply with other management requirements of Resvent.
8.3 Service Operation Specifications
Unless permitted by law or written permission from Resvent, you must not engage in the following activities while using this service:
8.3.1 submit, post false information, or impersonate or use the name of another person;
8.3.2 Inducing other users to click on link pages or share information;
8.3.3 Falsifying facts and concealing the truth to mislead or deceive others;
8.3.4 Infringe other people's right of reputation, portrait rights, intellectual property rights, trade secrets and other legal rights;
8.3.5 Use the ResAssist account and any features, and third-party operating platforms to promote or promote each other without written permission from Resvent;
8.3.6 Use ResAssist account or the software and services to engage in any criminal activities;
8.3.7 Produce or publish methods or tools related to the above actions, or operate or disseminate such methods or tools, whether or not these actions are for commercial purposes;
8.3.8 Other violations of laws and regulations, infringement of the legitimate rights and interests of other users, interference with the normal operation of the product, or Resvent unclear authorization.
8.4 Be Responsible for Their Own Actions
You fully understand and agree that you must be responsible for all actions under your registered account, including any content you post and any resulting consequences. You should make your own judgment on the content of this service and bear all risks arising from the use of the content, including the risks arising from the reliance on the correctness, completeness or practicality of the content. Resvent cannot and will not be liable for any loss or damage caused by the aforementioned risks.
8.5 Treatment of Breach
8.5.1 If Resvent finds or receives reports or complaints from other users that violate the terms of this agreement, Resvent shall have the right to delete, block, freeze accounts, or even cancel accounts to terminate services at any time without notice.
8.5.2 You understand and agree that Resvent shall have the right to punish violations of relevant laws and regulations or the provisions of this agreement in accordance with reasonable judgment, take appropriate legal action against any user who violates the law and regulations, and save relevant information in accordance with laws and regulations. The relevant department reports, etc., shall be solely responsible for all legal liabilities arising therefrom.
8.5.3 You understand and agree that you shall be solely responsible for any claims, claims or losses arising from or arising out of any third party claim arising out of your breach of this Agreement or related terms of service. Resvent should be compensated together.
IX. Termination of Service
9.1 You Proactively Terminate Services
You can terminate the ResAssist service or delete personal information and ResAssist accounts related to you at any time. You can contact your Data Protection Officer by email to delete your ResAssist account and personal information. In a certain period of time, we will perform the operation of deleting account and personal information according to your requirements. This operation will permanently delete your account and personal information and cannot be restored.
9.2 Resvent Terminates Services
Resvent may at any time, in certain circumstances, voluntarily terminate your service without notice to you. Reasons for such termination include:
(1) Violate this agreement or any other policies or guidelines referenced in this agreement and/or published in this service;
(2) You request cancellation or termination of your account;
(3) Law enforcement, judicial or other government agency requirements and/or orders;
(4) The provision of this service to you is or may be illegal;
(5) sudden technical or security problems;
(6) You are involved in fraud or illegal activities;
(7) You did not pay any fees you owe for this service.
However, in the case of non-material breach of contract, Resvent will only be allowed to terminate if it has been notified to you 30 days in advance and if you fail to correct the breach within the 30-day period. Whether the termination or suspension is entirely at the discretion of Resvent, and we will not be liable to you or any third party for any damage caused or incurred as a result of the termination or suspension of your account and/or access to the service. In addition, under the following circumstances, we can also terminate your account by sending a 30-day notice in advance via email to the address associated with your account:
(1) Your account is in a non-logged-in state for one year;
(2) There has been an overall interruption of the service or any part thereof.
The overall discontinued service notice will be provided as described in this Agreement unless it is unreasonable to do so because of legal, regulatory or governmental action; to deal with user safety, user privacy or technical integrity issues; Interrupt services provided to other users; or due to natural disasters, catastrophic events, wars, or other similar incidents beyond our reasonable control. In the event of such termination, we will refund you a pro-rata according to your pre-paid period for which the charge was already valid. We do not need to be responsible to you for any changes made to this service or the terms of service under Article 9(2).
9.3 Service Termination Effectiveness
Once your account is terminated, you may not be able to access the service and any portion thereof, including but not limited to your account number, personal information and data. In addition, we will delete the information and data stored in your account or as part of your account after a certain period of time. The relevant part of any agreement or agreement based on this service will also be terminated.
X. Intellectual Property Declaration
10.1 Resvent is the intellectual property right holder of this software. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of the software, and all information related to the software (including but not limited to text, pictures, audio, video, graphics, interface design, layout framework, relevant data Or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and the corresponding international treaty, and Resvent enjoys the above-mentioned intellectual property rights, except for the rights that related rights holders should enjoy in accordance with the law.
10.2 You may not, for any commercial or non-commercial purpose, use or authorize any third party to implement, use or transfer the above-mentioned intellectual property rights without the written consent of Resvent or related right holders.
XI. Terminal Safety Responsibility
11.1 You understand and agree that this software, like most Internet software, may be affected by a variety of factors, including but not limited to user reasons, network service quality, social environment, etc. It may also be subject to various security issues, including However, it is not limited to the illegal use of user data by others, and harassment in reality; other software downloaded by users or other websites visited may contain viruses, Trojans or other malicious programs, threatening your terminal device information and data security, and then affecting The normal use of this software. Therefore, you should strengthen the protection of information security and personal information, pay attention to password protection, so as to avoid losses.
11.2 You may not create, publish, use, or disseminate malicious programs used to steal ResAssist accounts and other personal information or property.
11.3 Maintaining software security and normal use is a joint medical and Resvent responsibility. Resvent will take reasonable technical measures to protect your terminal equipment information and data security in accordance with industry standards. However, you acknowledge and agree to provide Resvent services and Resvent services. No guarantee can be provided in this regard.
11.4 In any case, you should not rely on borrowing, asking for a password or other network information involving property. If you are involved in the operation of property, please verify the identity of the other party first, and always pay attention to Resvent 's tips on preventing fraud.
XII. Third Party Software or Technology
12.1 This software may use third-party software or technology (including open-source code and public domain code that may be used by the software, the same below), which has been legally authorized.
12.2 If the software uses third-party software or technology, Resvent will, in accordance with relevant laws and regulations or conventions, approve the relevant agreements or other documents, may pass the annex of this agreement, be packaged in a specific folder of the software installation package, or Open source software pages and other forms of display, they may be "software license agreement", "licensing agreement", "open source code license" or other forms to express. The aforementioned agreements, other documents and webpages presented in various forms are inseparable parts of this agreement and have the same legal effect as this agreement. You should comply with these requirements. If you do not comply with these requirements, the third party or state agency may sue you for a lawsuit, impose fines, or take other sanctions, and request Resvent assistance from you. You should take legal responsibility for yourself.
12.3 If any dispute arises due to third-party software or technology used by the software, the third party shall be responsible for solving the problem, and Resvent shall not bear any responsibility. Resvent does not provide customer support for third-party software or technology. If you need support, please contact a third party.
XIII. Others
13.1 You must read and agree to all the terms of this agreement in order to use the software and Services. Resvent reserves the right to amend the terms of this agreement when necessary. You can check the relevant agreement terms in the latest version of this software. After the terms of this agreement are changed, if you continue to use the software, you are deemed to have accepted the modified agreement. If you do not accept the modified agreement, you should stop using the software.
13.2 This agreement was signed in Bao'an District, Shenzhen, Guangdong Province, the People's Republic of China.
13.3 The establishment, entry into force, performance, interpretation and dispute resolution of this Agreement shall apply to the laws of the People's Republic of China (excluding the conflict of laws).
13.4 If any dispute or dispute arises between you and Resvent, it should first be settled through friendly negotiation. If the negotiation fails, you agree to submit the dispute or dispute to the people's court that has jurisdiction over the place where the agreement is signed.
13.5 The headings of all provisions of this Agreement are for convenience of reading only and have no practical meaning in themselves. They cannot be used as the basis for interpretation of the meaning of this Agreement.
13.6 This agreement may exist in multiple languages including Chinese and English. If there is a conflict between the Chinese version and the other language version, the Chinese version shall prevail.
13.7 The terms of this agreement are invalid or unenforceable for any reason. The remaining provisions are still valid and binding on both parties.

Doctor’ s Information:

When a doctor user signs up for an ResAssist account, we will collect the doctor user’s profile, name, organization, type of organization, job title, time zone, address, e-mail address, phone number, e-signature, and bound patient.

When the doctor user provides diagnosis and treatment services for the patient, we will collect the prescription and setting parameters that the doctor user sets and downloads for the patient, the current prescription setting parameters of the device, the operation log, the contents and conclusions of the patient diagnostic analysis, and the patient report, communication with doctors.
(3)
When the doctor user uses the mobile phone APP client, web client, PC client, WeChat public account, WeChat Mini Program, etc., we will collect user account information, identity unique identifier, cookies, usage, including login and logout. Time, browsing pages, length of stay, operation, type of terminal device (eg mobile phone, computer, etc.), operating system, resolution, browser information.

Physician service records, virtual account information, service fees, bank cards, credit card information, and transaction records when doctors provide value-added services to patient users.

In accordance with local regulations, the doctor user has the right to dispose of personal data. When the doctor asks his/her personal data to exercise his/her disposition rights, we will ask the doctor user to provide the name, email, ResAssist account. If necessary, provide identity information.
